1. Introduction

Welcome to Apex Automate Ltd ("we", "our", "us"). By accessing or using our website, software platform, or any related services (the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use our Services.

These Terms apply to all visitors, prospects, and clients of Apex Automate, whether accessing our Services as an individual or on behalf of a business.

References to "Apex Automate," "we," "our," or "us" throughout these Terms mean Apex Automate Ltd.


3. Services Provided

Apex Automate offers a hybrid solution combining:

Software-as-a-Service (SaaS) — ongoing access to our smart website, CRM, automation, and AI platform (built primarily on GoHighLevel) on a subscription basis, currently offered across our Starter, Growth, and Elite AI+ plans.

Done-For-You Services — professional setup and configuration performed by our team, including website design, CRM build, AI voice/chat agent configuration, workflow automation, and SEO.

Current plan features, setup fees, and subscription pricing are set out on our pricing page and/or in your order confirmation, and form part of the agreement between us for your specific plan. Where anything in an order confirmation conflicts with these general Terms, the order confirmation takes precedence for that engagement.

We may update, modify, or enhance the Services at any time to improve functionality, security, or user experience. We will give reasonable notice of any change that materially reduces the functionality of a paid plan.


4. Account Registration

To access the platform, you must create an account and provide accurate, complete, and current information. You confirm that:

You are at least 18 years old

You are authorised to enter into this agreement on behalf of the business you represent (where applicable)

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised use of your account.


5. Subscription, Free Trial & Payments

New users are entitled to a 30-day free trial, where offered.

After the trial period, your subscription will automatically renew into your selected paid plan unless cancelled before the renewal date.

Subscription fees are billed monthly or annually, as chosen at checkout, and are set out on our pricing page and/or your order confirmation.

One-off setup fees are charged separately and are due on commencement of the relevant setup/build work.

By providing payment details, you authorise Apex Automate (or our payment processor) to charge recurring payments to your selected payment method until you cancel.

Payments are processed via third-party payment processors (Stripe and/or PayPal). We do not store full card details ourselves.

Prices are shown in GBP for UK clients and USD for US clients unless stated otherwise. We reserve the right to change subscription pricing on renewal with at least 30 days' notice; continued use after the new price takes effect constitutes acceptance.


6. Cancellations & Refunds

You may cancel at any time via your account dashboard or by contacting [email protected].

A 7-day refund window applies from the date of your initial paid subscription payment.

Refunds are not available for setup fees or custom project work once that work has commenced.

After the 7-day window, all subscription fees already paid are non-refundable, though you may still cancel to stop future billing.

Cancellation takes effect at the end of your current billing period; you will retain access until that date but will not be charged again.


7. Intellectual Property

All content, software, branding, templates, and materials created or provided by Apex Automate remain our intellectual property (or that of our licensors).

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable licence to use the Services for your own business's internal operations. You may not copy, resell, sublicense, reverse-engineer, or reproduce our systems, templates, workflows, or code, in whole or in part, without our prior written consent.

Any custom work built specifically for you (e.g. a bespoke website or workflow) is licensed to you for use in your business; underlying reusable frameworks, templates, and proprietary automation logic remain our property.


8. User Content

Any content you upload or provide to us (text, images, data, branding assets) remains your property. By using our Services, you grant us a limited, non-exclusive licence to store, process, and display that content solely for the purpose of delivering the Services to you. This licence ends when your account is closed, except where we are required to retain data for legal or accounting purposes (see our Privacy Policy).

You confirm you have the necessary rights to any content you provide and that it does not infringe any third party's rights.


9. Data Protection & Privacy

We comply with the UK GDPR and the Data Protection Act 2018. Personal data is collected and processed only as described in our Privacy Policy.

You retain full ownership of your customer/lead data stored in your account. Where we process that data on your behalf (e.g. via your CRM or AI agents), we act as a Data Processor and you remain the Data Controller for your own end-customers — you are responsible for having a lawful basis to collect and process their data, and for your own privacy notices to them.

On termination of your account, we will delete or return your data in line with the retention periods set out in our Privacy Policy, unless a longer period is required by law.


10. Limitation of Liability

To the fullest extent permitted by law:

Apex Automate Ltd is not liable for any indirect, incidental, special, or consequential losses (including loss of profits, revenue, or business opportunity) arising from your use of the Services.

Our total aggregate liability to you, arising out of or in connection with these Terms or the Services, shall not exceed the amount paid by you in the three (3) months immediately preceding the event giving rise to the claim.

We do not guarantee uninterrupted or error-free Service, though we aim for maximum uptime and reliability. Scheduled maintenance will be communicated in advance where reasonably possible.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.


11. Third-Party Services

Our platform integrates with third-party tools, including Google, Meta, Stripe, PayPal, and other providers used to deliver your CRM, automation, and AI systems. We are not responsible for outages, changes, or liabilities arising from these third-party platforms, though we will act reasonably to mitigate any impact on your Service where within our control.


12. Termination

We reserve the right to suspend or terminate your account, with or without notice, for:

Material breach of these Terms

Illegal activity or misuse of the platform

Non-payment of fees due

Upon termination, your licence to use the Services ends immediately. Sections relating to Intellectual Property, Limitation of Liability, Data Protection, and Governing Law survive termination.


13. General

Force Majeure — Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.

Severability — If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

No Waiver — Failure to enforce any right under these Terms is not a waiver of that right.

Assignment — You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire Agreement — These Terms, together with your order confirmation and our Privacy Policy, form the entire agreement between us regarding the Services.


14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms.
